By downloading, installing, or using Sukli App, you agree to these Terms. Please read them carefully — they cover your license, your responsibilities, and the limits of our liability.

1 Description of Service

Sukli App is an offline-first POS and tindahan management application designed for Filipino MSMEs: sari-sari stores, karinderya, mini groceries, palengke stalls, milk tea shops, snack shops, and school canteens. It includes Sukli Assistant, an on-device AI feature that operates without internet.

2 Eligibility and Acceptance

By using the App, you confirm that:

  • You are at least 18 years of age
  • You have the legal capacity and authority to enter into these Terms
  • You will use the App only for lawful business or personal purposes

3 License to Use

We grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to use the App on a compatible device you own or control.

Permitted

  • Using the App on devices you own to manage your tindahan
  • Exporting your own business data for personal records
  • Sharing exported reports with authorized staff or accountants

Prohibited

  • Copy, reproduce, or redistribute the App without authorization
  • Reverse engineer, decompile, or disassemble
  • Modify, adapt, or create derivative works
  • Resell, sublicense, rent, or lease the App
  • Use for any unlawful purpose
  • Circumvent technical protection measures
  • Use automated tools, scripts, or bots

4 Payment Terms and Lifetime Access

What your one-time payment includes

  • Lifetime access to the purchased version
  • Feature updates during the active development period
  • Lifetime technical support through official channels
  • Full offline mode — no internet subscription required
  • Sukli Assistant AI — no monthly AI fee
  • Compatible with Android phones and tablets (and iOS when available)

Definition of "Lifetime"

"Lifetime" refers to the active development and commercially supported operational life of Sukli App. It is not an unconditional guarantee of indefinite operation. In the event of formal discontinuation, reasonable advance notice will be given.

Refund Policy

All purchases are processed through the Google Play Store or Apple App Store and are governed by their refund policies. We do not process refunds outside of platform policies.

5 Offline Usage and Data Storage

The App does not require account registration, internet connectivity, cloud sync, or remote server access. All records are stored exclusively on your local device.

6 User Responsibilities

Transaction accuracy

  • Verify entries, prices, and amounts before saving
  • Review sukli computations at the time of each transaction
  • Regularly audit utang balances

Device and data security

  • Protect your device using passwords, PINs, or biometrics
  • Ensure only authorized persons access your device
  • Install only from official sources

Backup and lawful use

  • Create regular backups using export features and store them securely
  • Comply with all applicable Philippine laws
  • Handle customer data lawfully under RA 10173
  • Comply with tax and business registration obligations independently

7 Risk of Data Loss

⚠ Important notice

Because all data is stored locally, permanent data loss may occur from:

  • Uninstalling the App
  • Factory reset
  • Hardware failure
  • Accidental deletion
  • Device theft, damage, or loss
  • Operating system corruption

Use backup features regularly. We are not responsible for data loss from any of the above.

8 Updates and Support

We may release bug fixes, security patches, compatibility updates, and feature improvements. We make commercially reasonable efforts to respond to support inquiries; specific response times are not guaranteed. We do not guarantee permanent feature availability, compatibility with all future devices, or operation beyond the formal end-of-life of a particular version.

9 No Professional Advice

The App is a business management and record-keeping tool. It does not constitute professional accounting, taxation, legal, regulatory, financial, or business advice. Consult qualified professionals where needed.

10 Disclaimer of Warranties

To the maximum extent permitted by law, the App is provided "AS IS" and "AS AVAILABLE". We disclaim all warranties: merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, and warranty that the App will be uninterrupted or error-free.

Nothing limits any non-waivable consumer rights under RA 7394 (Consumer Act of the Philippines).

11 Limitation of Liability

We shall not be liable for lost profits, business interruption, financial losses, data loss, device-related issues, third-party damages, or indirect / incidental / special / consequential / exemplary / punitive damages.

Liability cap

Our total aggregate liability shall not exceed the amount you actually paid for the App, or PHP 500.00, whichever is greater.

12 Intellectual Property

All rights, title, and interest in the App — software, code, UI, design, graphics, icons, branding, name, logos, and documentation — are owned by us and our licensors, protected by Philippine and international IP law.

Your business data created within the App remains yours. We claim no ownership over your transaction records, customer entries, product data, or sales figures.

13 Termination

You may terminate by uninstalling the App. We may suspend access for users who materially violate these Terms, withdraw the App with reasonable notice where practicable, or refuse service to users engaged in fraudulent activity.

14 Third-Party Platforms

Sukli App is distributed through the Google Play Store and (when available) the Apple App Store. Where these Terms conflict with platform rules, the platform-specific rules prevail solely to the extent of such conflict.

15 Changes to These Terms

We may update these Terms from time to time. Continued use after updates constitutes acceptance of the revised Terms.

16 Governing Law and Disputes

Governed by the laws of the Republic of the Philippines. Disputes will first be addressed through good-faith negotiation, then submitted to the exclusive jurisdiction of competent Philippine courts, unless mandatory consumer-protection laws provide otherwise.

17 Severability and Entire Agreement

If any provision is held invalid, the remaining provisions continue in full force. These Terms, together with the Privacy Policy, constitute the entire agreement.
